General Terms of Sale (B2B)
§ 1. Scope
1. These General Terms of Sale (GTS) apply to contracts for the sale of products from the dekoprintpro.com range concluded by P.P.H.U. DEOZE Sebastian Pietrzak, ul. gen. Stefana „Grota” Roweckiego 8a, 95-200 Pabianice, Poland, VAT ID PL7311938864 (the Seller), with businesses (the Buyer), including buyers from other European Union member states.
2. To sole traders for whom the contract is not of a professional nature, §1(6) of the Terms of Service applies (consumer-equivalent protection to the extent set out in Article 385⁵ of the Polish Civil Code).
3. The Buyer's own terms are binding only if the Seller accepts them in writing or by e-mail.
§ 2. Conclusion of the contract
1. The contract is concluded when the Seller confirms an order placed on the basis of a quote (by e-mail).
2. For personalised products, the Buyer's approval of the graphic design constitutes approval of the engraving content (spelling, dates, logo). The Seller is not liable for errors in approved content.
3. Minimum order: 5 pcs of a given model.
§ 3. Prices and payment
1. Prices are net prices; VAT is added in accordance with applicable law.
2. Invoices are issued in PLN, EUR or USD, as agreed in the quote. Conversions for VAT purposes use the National Bank of Poland (NBP) rate in accordance with the Polish VAT Act.
3. Payment: as a rule, prepayment on the basis of a pro forma invoice before production starts. For public institutions and regular customers the Seller may, if agreed in the quote, allow payment by bank transfer within 14 days of the invoice date.
4. Intra-Community supply of goods: the 0% VAT rate applies only if the Buyer provides a valid EU VAT number, verified in the VIES system before the invoice is issued, and the goods are delivered outside Poland.
5. The goods remain the property of the Seller until the full price has been paid.
§ 4. Delivery
1. The cost of courier delivery, including packing, is charged per parcel according to the price list at dekoprintpro.com/dostawa: PLN 25 net within Poland and from PLN 39 to PLN 109 net to the other European Union member states, depending on the country. The number of parcels and the total delivery cost are stated in the quote; larger orders may be shipped on a pallet under a separate quote.
2. Deliveries to other EU member states are made on DAP terms (Incoterms® 2020) — the Seller arranges transport to the specified address, and the delivery cost under para. 1 is added to the price; the Buyer is responsible for any formalities on its side. Deliveries outside the European Union (by air or sea freight) are made for orders worth at least €3,000 net, on the terms and at the transport cost stated in the quote.
3. The lead time stated in the quote runs from approval of the design and — if prepayment applies — from receipt of the prepayment.
4. The risk of accidental loss of or damage to the goods passes to the Buyer when the goods are handed over to the Buyer.
§ 5. Receipt and complaints
1. The Buyer inspects the shipment on receipt and reports any transport damage to the carrier (damage report) and to the Seller.
2. The Buyer submits complaints within 14 days of delivery to sales@dekoprintpro.com, with a description and photos.
3. The Seller processes a complaint within 14 days; if it is accepted, the Seller repairs or replaces the goods or reduces the price, at the Seller's choice.
4. The Seller's statutory warranty liability (rękojmia) towards businesses is excluded (Article 558 § 1 of the Polish Civil Code), except for the persons referred to in §1(2); complaints are handled in accordance with this section.
5. Minor differences resulting from the nature of engraving, the natural characteristics of glass, crystal or wood, or screen settings do not constitute a defect.
§ 6. Liability
1. The Seller's liability towards the Buyer is limited to the net value of the order concerned; the Seller is not liable for lost profits. This limitation does not apply to damage caused intentionally.
2. The Buyer is responsible for having the right to use the logos, marks and content it supplies (as in §6(3) of the Terms of Service).
§ 7. Governing law and disputes
1. Contracts are governed by Polish law.
2. The United Nations Convention on Contracts for the International Sale of Goods (Vienna, 1980) does not apply.
3. Disputes are resolved by the court having jurisdiction over the Seller's registered office.
4. The Polish version is binding; the English version is for information only.
